1. Indemnification

a) You agree to indemnify, defend, and hold harmless Sean Chan: Chinese Metaphysics Consultant (“Company”), its officers, directors, employees, affiliates, agents, and representatives (collectively referred to as “Indemnified Parties”) from and against any and all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with:

• Your use of the Site or any services provided by us.
• Your violation of these Terms or any applicable laws, regulations, or third-party rights.
• Your violation of any intellectual property rights or other proprietary rights of any person or entity.
• Your negligent, willful, or unlawful conduct.

b) We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

d) The decision of the arbitrator(s) shall be final and binding upon both parties. The arbitration award may be enforced by any court of competent jurisdiction.

4. Defamation and Prohibited Conduct

a) You agree not to engage in any defamatory activities while using the Site. Defamation refers to the act of making false statements or spreading misleading information about individuals or entities that may harm their reputation.
